StageText End User License Agreement (EULA)

Effective date: September 8, 2026

This Agreement sets out the terms under which you may use the StageText software (the “Software”). By installing or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software.

“Developer” means the copyright holder of the Software, Pinballz. “You” means the individual or organization installing or using the Software.

1. Editions

The Software is distributed as a single installer and runs as one of two editions depending on whether a license key is activated.

  • Basic: Free. Up to 2 tracks per project and core features including PDF script import.
  • Pro: Paid. Everything in Basic plus 3 or more tracks, Show Mode for projects with 3 or more tracks, and PPTX export.

Project files containing 3 or more tracks can still be opened and edited in Basic. Adding tracks and entering Show Mode require a Pro license. The Developer may change the set of Pro-only features between versions, but features already delivered to existing purchasers will not be removed.

2. License Grant

2.1 Basic

The Developer grants you a non-exclusive, non-transferable, royalty-free license to install Basic on any number of devices and to use it for commercial or non-commercial purposes.

2.2 Pro

A Pro license is a perpetual license purchased with a one-time payment. One license key may be activated on up to 2 devices at the same time. To move to a new device, deactivate the license on an existing device first. The license belongs to the purchasing individual or organization. If purchased by an organization, its members may use the Software on the activated devices.

2.3 Updates

A Pro license covers future updates of the Software at no additional charge. It does not cover a separately sold successor product, such as a new major version offered as a separate purchase.

3. Activation and Validation

  • Pro features require activating a license key while connected to the internet.
  • After activation, Pro features work offline. When the Software starts with an internet connection, it re-validates the license in the background. If validation fails because of a network error or server outage, Pro features remain enabled.
  • The Software reverts to Basic only when the validation server explicitly reports the license as invalid, for example after a refund, cancellation, or deactivation.
  • Information transmitted during activation, validation, and deactivation is described in the Privacy Policy.

4. Payment and Seller

Payment, tax handling, receipts, and refunds for Pro licenses are processed by our Merchant of Record, Lemon Squeezy (https://www.lemonsqueezy.com). Lemon Squeezy’s terms of service and privacy policy also apply to the checkout process. Refunds are governed by the separate Refund Policy.

5. Restrictions

You may not:

  1. Sell, rent, lease, redistribute, or share the Software or a license key with third parties, except for use within your organization under Section 2.2.
  2. Bypass, tamper with, or remove license validation or edition restrictions.
  3. Reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law.
  4. Remove or alter copyright notices, trademarks, or third-party notices in the Software.
  5. Use the Software for any unlawful purpose.

6. Your Content

You retain all rights to scripts, subtitles, project files, and exported files that you create or import with the Software. The Developer claims no rights to your content, and the Software does not transmit subtitle text or project files to the Developer.

You are responsible for securing the rights to any third-party material, such as scripts, that you import.

7. Intellectual Property

The Software is licensed, not sold. Copyright and all other intellectual property rights in the Software remain with the Developer. The Software includes open-source components and fonts that are subject to their own licenses, listed in the Third-Party Notices (https://stagetext.app/legal/third-party).

8. Usage Data

The Software collects anonymous usage statistics to help improve it. Collection is on by default, and the Software tells you so when it is first launched. The items collected, their purpose, and how to turn it off are described in the Privacy Policy. You can turn collection off at any time in Settings.

9. Disclaimer of Warranty

The Software is provided “as is”. The Developer makes no express or implied warranties, including warranties of merchantability, fitness for a particular purpose, freedom from errors, or uninterrupted operation.

The Software may be used during live performances. The Developer is not responsible for the consequences of any error, delay, or interruption of the Software during a performance. You are responsible for testing the Software in your environment before a performance and for preparing appropriate contingencies.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Developer is not liable for any indirect, incidental, or consequential damages arising from the use of or inability to use the Software, including lost business, disrupted performances, and data loss. In no event will the Developer’s total liability exceed the amount you actually paid for the license.

This section does not apply to damages caused by the Developer’s willful misconduct or gross negligence, or to liability that cannot be excluded under applicable law.

11. Termination

If you breach this Agreement, the Developer may terminate your license after notice. Upon termination you must stop using and delete the Software. Sections 5, 7, 9, 10, and 12 survive termination.

12. Governing Law and Disputes

This Agreement is governed by the laws of the Republic of Korea. The parties will first attempt to resolve any dispute by negotiation. Failing that, the dispute will be resolved by the court having jurisdiction under the Korean Civil Procedure Act. Where mandatory consumer-protection law applies to you, that law prevails.

13. Changes to This Agreement

The Developer may amend this Agreement. Amendments are published on the website, and continued use of the Software after publication constitutes acceptance. The core terms of an already purchased Pro license (perpetual use, 2-device activation) will not be changed to your detriment.
